Shipzy Platform Terms and Conditions

THIRD-PARTY DRIVERS, RIDERS & FLEET PARTNERS

Apex Global Logistics Inc. (Shipzy) / Shipzy.ph

Effective Date: July 13, 2026 Last Updated: July 13, 2026

Agreement to these Terms

These Platform Terms and Conditions ("Terms") govern the registration and use of the Apex Global Logistics Inc. Platform: the SHIPZY Platform ("Platform") by independent third-party drivers, riders, vehicle owners, and fleet operators ("Service Provider").

The Platform is operated by Apex Global Logistics Inc. ("SHIPZY" or the "Company").

By registering, accepting a delivery request, or using the Platform, the Service Provider confirms that they have read, understood, and agreed to these Terms.

If you do not agree to these Terms, you must immediately discontinue your use of the Platform and Services.
Section 01

Platform Services

SHIPZY provides a technology-enabled logistics platform that facilitates connections between customers requiring logistics, delivery, or transportation services and independent third-party Service Providers.

SHIPZY may facilitate delivery requests, shipment information, customer communication, proof of delivery, transaction records, payment processing, and related logistics coordination.

Section 02

Independent Service Provider

The Service Provider operates as an independent service provider and not as an employee, agent, partner, or representative of SHIPZY.

The Service Provider:

  • independently decides whether and when to access the Platform;
  • may accept or decline available delivery requests;
  • may provide services to other customers, companies, or platforms;
  • provides and maintains their own vehicle, equipment, mobile device, fuel, and operating resources;
  • bears their own operating expenses and business risks; and
  • obtains and maintains all licenses, registrations, permits, insurance, and qualifications required by law.

The Service Provider is responsible for determining the manner and means of performing an accepted delivery, subject to the required delivery result, shipment requirements, safety standards, customer requirements, Platform security measures, and applicable law.

Nothing in these Terms is intended to create an employer-employee relationship. The parties acknowledge, however, that legal classification shall remain subject to Philippine law and the actual facts and circumstances of the relationship.

Section 03

No Exclusivity or Fixed Work Schedule

The Service Provider is not required to work exclusively for SHIPZY and may provide services to other businesses or platforms.

The Service Provider is not required to maintain fixed working hours for SHIPZY and determines their own availability, subject to delivery requests they voluntarily accept.

There is no guaranteed minimum work, income, or number of assignments.

Section 04

Delivery and Service Responsibilities

Upon accepting a delivery, the Service Provider shall:

  • properly complete the delivery;
  • exercise reasonable care over the shipment;
  • provide accurate delivery status and proof of delivery;
  • comply with applicable traffic, transportation, safety, and other laws;
  • maintain valid licenses, vehicle registration, permits, and insurance;
  • promptly report accidents, delays, loss, damage, theft, tampering, or other material incidents; and
  • comply with reasonable shipment-handling and customer-protection requirements.
Section 05

Shipment Custody, Loss, Damage and Theft

Upon receiving a shipment, the Service Provider is responsible for its proper care and timely delivery to the authorized recipient, or its prompt return to SHIPZY or the designated party if delivery cannot be completed.

The Service Provider shall be responsible, to the extent permitted by law, for any loss, damage, theft, shortage, non-delivery, wrongful delivery, abandonment, failure to return, or unauthorized disposal occurring while the shipment is in their custody or control when caused by their negligence, fraud, misconduct, breach of these Terms, or violation of law.

For ordinary negligence, the Service Provider's liability shall be limited to the lower of (a) the actual and documented loss or (b) the Declared Value of the shipment. This cap shall not apply, to the extent permitted by law, to fraud, theft, intentional misconduct, gross negligence, abandonment, wrongful delivery, or other unlawful acts.

The Service Provider shall immediately report any incident affecting delivery and cooperate with SHIPZY's investigation. Where responsibility is established, SHIPZY may seek reimbursement and, to the extent permitted by law, offset the amount against pending payouts after notice and a reasonable opportunity to respond.

For purposes of these Terms, "Declared Value" means the value of the shipment declared by the customer or sender through the Platform at or before the shipment is accepted for delivery.

Section 06

Shipment Condition and Packaging

The Service Provider should report shipments that appear visibly damaged, improperly packaged, leaking, unsafe, inadequately sealed, or otherwise unsuitable for transportation.

Where reasonably apparent at pickup, the Service Provider should document the shipment's condition through photographs or other available evidence.

SHIPZY and the Service Provider shall not be responsible for loss or damage caused solely by inadequate or defective packaging, inherent defects in the goods, inaccurate shipment information, or conditions attributable to the customer or sender, except to the extent caused or aggravated by the negligence, misconduct, or breach of the responsible party.

SHIPZY may refuse, suspend, or require additional instructions for shipments presenting a reasonable safety, legal, or transportation risk.

Section 07

Weekly Payout

SHIPZY shall process payouts weekly for completed and approved transactions.

Payments are service fees/transaction payments and not salary or wages.

SHIPZY may apply agreed platform fees, transaction adjustments, refunds, reversals, or amounts reasonably attributable to verified loss, damage, fraud, or other legitimate claims.

SHIPZY shall not unreasonably withhold undisputed amounts.

The Service Provider is responsible for their own applicable taxes, registrations, permits, and business obligations.

Section 08

Vehicles, Equipment, Insurance and Expenses

Unless otherwise agreed in writing, the Service Provider provides and maintains their own vehicle, fuel, mobile device, communication equipment, safety equipment, maintenance, repairs, registration, and insurance.

The Service Provider bears their own ordinary operating expenses, including fuel, maintenance, depreciation, parking, tolls, traffic penalties, and vehicle-related costs.

The Service Provider shall maintain insurance required by law and appropriate to the vehicle and services performed.

Where SHIPZY arranges insurance for a particular transaction, coverage shall be subject to the applicable policy, limits, exclusions, deductibles, and conditions.

Section 09

Fleet Partners

The Fleet Partner is responsible for:

  • recruiting, engaging, and managing its drivers/personnel;
  • compensation and contractual arrangements with its drivers/personnel;
  • driver licenses and qualifications;
  • vehicle registration and maintenance;
  • applicable permits and insurance;
  • compliance with applicable labor, tax, transportation, safety, and business laws; and
  • acts and omissions of its drivers/personnel in connection with services provided through the Platform.

Drivers supplied by a Fleet Partner do not become employees of SHIPZY solely because they perform deliveries through the Platform.

The Fleet Partner shall indemnify SHIPZY against claims arising from the Fleet Partner's employment, contractual, tax, licensing, or personnel obligations, except to the extent legally attributable to SHIPZY.

Section 10

Prohibited Conduct

The following are strictly prohibited:

  • account sharing, lending, selling, or impersonation;
  • fraudulent registration or documents;
  • false proof of pickup or delivery;
  • theft, diversion, or unauthorized opening of shipments;
  • unauthorized collection of fees;
  • manipulation of GPS, delivery status, or Platform records;
  • misuse or unauthorized disclosure of customer information;
  • unsafe, reckless, or unlawful driving;
  • harassment, threats, or abusive conduct; and
  • fraud or unlawful activity.
Section 11

Data Privacy and Confidentiality

The Service Provider shall keep customer, shipment, pricing, Platform, and business information confidential and shall use such information only for authorized delivery transactions and legitimate related purposes.

The Service Provider shall process personal information only for authorized delivery-related purposes, in accordance with SHIPZY's instructions and applicable data privacy laws.

SHIPZY may collect and process personal information necessary for registration, verification, delivery operations, payment, security, fraud prevention, dispute resolution, and legal compliance in accordance with the Data Privacy Act of 2012 (RA 10173) and applicable regulations.

The Service Provider shall maintain reasonable safeguards for personal information and immediately report any unauthorized access, disclosure, loss, or misuse of personal information.

Section 12

Suspension and Termination

SHIPZY may suspend, restrict, or deactivate a Platform account for legitimate reasons, including fraud, safety violations, theft, shipment misconduct, false information, expired licenses or permits, serious customer complaints, data privacy violations, breach of these Terms, or violation of applicable law.

Where reasonably practicable, SHIPZY may provide notice and an opportunity to respond.

Either party may terminate the relationship, subject to settlement of completed transactions and obligations accrued before termination.

Termination does not release either party from obligations that survive termination.

Section 13

Identity and Liability

To the fullest extent permitted by law, the Service Provider shall indemnify and hold harmless SHIPZY, Apex Global Logistics Inc., and their officers, directors, employees, and representatives from reasonable and documented claims, losses, damages, penalties, costs, and expenses arising from the Service Provider's negligence, fraud, willful misconduct, violation of law, breach of these Terms, or loss/damage to shipments attributable to the Service Provider.

SHIPZY shall not be responsible for the Service Provider's ordinary business expenses, lost income, vehicle costs, traffic penalties, or acts and omissions of the Service Provider or third parties, except where liability is legally attributable to SHIPZY.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Section 14

Disputes and Governing Law

The parties shall first attempt to resolve disputes in good faith.

Nothing in these Terms prevents either party from seeking remedies before a government agency, court, or other forum having lawful jurisdiction.

These Terms shall be governed by the laws of the Republic of the Philippines.

The Service Provider confirms that they have read, understood, and voluntarily agreed to these Terms.
